1. Scope of Application

These Terms and Conditions apply to all business relationships between Euro Distribution (“Seller”) and business customers (“Buyer”).

This webshop is intended exclusively for B2B customers (companies, retailers, wholesalers, and professionals). Consumers are not permitted to place orders.

By using this webshop, the Buyer confirms they are acting in the course of business.

2. Contract Formation

Product listings constitute a non-binding invitation to place an order.
A binding contract is concluded only when the Seller confirms the order in writing or ships the goods.

3. Prices and Payment

All prices are net prices excluding VAT, unless otherwise stated.
Shipping costs, duties, and taxes are not included unless explicitly agreed.

The Seller reserves the right to require advance payment or restrict payment methods.

4. Delivery and Shipping

Delivery times are estimates and not binding.
Risk passes to the Buyer upon shipment or handover to the carrier, unless otherwise agreed.

5. Retention of Title

Goods remain the property of Euro Distribution until full payment has been received.

6. Returns and Complaints (B2B)

Returns are accepted only with prior written approval.
Complaints must be reported within 7 days of receipt of goods.
Defective goods will be replaced or credited at the Seller’s discretion.

7. Liability

Euro Distribution is not liable for indirect damages, loss of profit, or business interruption.
Liability is limited to the value of the delivered goods.

8. Intellectual Property

All website content, catalogs, trademarks, and materials are the property of Euro Distribution and may not be used without written consent.

9. Force Majeure

The Seller is not responsible for delays caused by events beyond reasonable control, including natural disasters, strikes, supply disruptions, or governmental actions.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy.
Jurisdiction is exclusively the courts of Imperia, Italy.
